1. Who you are contracting with

These Terms & Conditions ("Terms") are a binding agreement between you ("you", "Customer") and Agentomate ("Agentomate", "we", "us"), the provider of the Agentomate platform (the "Service"). By creating an account, subscribing to a plan, or otherwise using the Service, you agree to these Terms. If you do not agree, you must not use the Service.

If you use the Service on behalf of a business, you confirm you have authority to bind that business. If you use it as an individual, you confirm you are of legal age to enter into a contract.

2. The Service

Agentomate is a subscription software platform for independent salons, barbershops, and beauty studios. It provides online booking, calendar management, a customer CRM, automated reminders and follow-ups, marketing campaigns, analytics, and AI-assisted features such as an AI receptionist and content generation. Features available to you depend on your subscription plan.

3. Accounts and accurate information

You are responsible for keeping your login credentials confidential and for all activity under your account. You must provide accurate account and business information and keep it up to date. Notify us promptly of any suspected unauthorised access.

4. Licence and restrictions

We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your own business purposes within the limits of your selected plan. You must not reverse engineer, decompile, resell, redistribute, or sublicense the Service, nor circumvent plan limits, quotas, rate limits, or technical controls.

5. Acceptable use

You must not misuse the Service. In particular, you must not:

• use the Service for any unlawful purpose or in breach of applicable law;
• engage in fraud, spam, or send unsolicited bulk messages to people who have not consented;
• infringe the intellectual property, privacy, or other rights of any third party;
• upload malware, probe or interfere with the security or integrity of the Service, or scrape it without permission;
• use the Service to generate unlawful, deceptive, hateful, harassing, or otherwise harmful content.

6. Customer data and content

You retain ownership of the data and content you upload, including your client records and messaging content. You grant us a limited licence to host, process, and transmit that content solely to provide and support the Service. You are responsible for having a lawful basis and any required consents to collect and message your clients, and for the accuracy and legality of your content.

7. AI features

Some features use artificial intelligence to draft replies, marketing copy, and other content. AI outputs may be inaccurate, incomplete, or unsuitable, and are not professional, legal, medical, or financial advice. You are responsible for your prompts, for reviewing and verifying outputs before use, for having the rights to any content you submit, and for how you use outputs. We may filter, restrict, or refuse outputs, remove content, and suspend accounts that misuse AI features. If you believe content infringes your rights, contact us and we will review and, where appropriate, remove it; repeat infringers will lose access.

8. Intellectual property

Agentomate and its licensors retain all rights, title, and interest in the Service, including its software, documentation, designs, and branding. No rights are granted other than those expressly set out in these Terms.

9. Service availability

We work to keep the Service reliable but do not guarantee that it will be uninterrupted, error-free, or free of defects. Maintenance, updates, and third-party outages may affect availability.

10. Payments, subscriptions and taxes

Subscriptions are sold on a recurring basis and renew automatically until cancelled. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, tax, invoicing, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. Our own refund commitments are described in our Refund Policy.

11. Suspension and termination

We may suspend or terminate your access if you materially breach these Terms, fail to pay, create a security or fraud risk, or repeatedly or seriously violate our acceptable use rules. You may cancel your subscription at any time. On termination, your right to use the Service ends; you may export your data for 30 days after termination, after which we may delete it in line with our Privacy Notice.

12. Warranties and liability

To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose. We are not liable for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Our aggregate liability is limited to the fees you paid in the 12 months before the claim. Nothing in these Terms excludes liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot lawfully be excluded.

13. Indemnity

You will indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.

14. Changes, assignment and general

We may update these Terms; material changes will be notified in-app or by email, and continued use after the effective date constitutes acceptance. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for failures caused by events beyond its reasonable control.

15. Governing law and contact

These Terms are governed by the laws of the jurisdiction in which Agentomate is established, and the courts of that jurisdiction have exclusive jurisdiction over disputes. Questions about these Terms can be sent to agentomateapp@gmail.com.
